Attributes & Experience

The knowledge, experience, and skill of each board member are vital to BVCU's overall success moving forwards.  

Every board member must adhere to the highest ethical standards, display strong business acumen (including well-developed analytical and critical thinking skills to complement decision making skills), have strong interpersonal skills, demonstrate a passion for the credit union system, and fundamentally align with BVCU's core values.

The candidates we are seeking need to be self-directed as well as collaborative individuals who demonstrate developed interpersonal skills and have an ability to maintain independence of perspective. In order to be successful, board members must be prepared to commit the required time and dedication required to serve as a director for BVCU. 

BVCU is committed to ensuring that collectively the Board has the knowledge, skills, and abilities required to fulfill their fiduciary responsibilities through informed decision-making. 

It is the expectation that all candidates are highly computer literate, able to navigate within a virtual meeting environment and have a good understanding of board governance, the types of decisions made by boards, and their fiduciary duties.

Board Requirements

Annually, the Board of Directors reviews the skill sets, experience, and perspectives to ensure a balanced and highly functioning board. For a general overview in 2023, the Board was looking for the following:

  • experience to include oversight of capital adequacy, liquidity adequacy, and other balance sheet-related risks (such as interest rate risk) of a financial institution
  • experience interpreting financial statements of financial institutions of comparable size and complexity to a credit union
  • experience with plans, budgets, and financial reporting
  • aptitude with or understanding of generally accepted accounting principles under International Financial Reporting Standards (IFRS)
  • experience to include oversight of a commercial credit portfolio, with an understanding of the related risks inherent in commercial lending and strategies for mitigating those risks
  • experience to include oversight of a corporate investment portfolio of the size and complexity of a credit union.
  • in the framework of financial institution risk management, including:
    • establishment of an enterprise-wide risk appetite framework
    • development and approval of risk policies
    • assessing and managing risks
    • engaging in strategic discussions relative to the types and complexity of risk
    • ability to make prudent financial and strategic decisions based on risk assessment and market conditions that reflect the risk appetite and corporate values of the organization
  • experience with and/or having an understanding of the statutory and regulatory requirements of a financial institution
  • experience in multi-faceted stakeholder relations with the ability to articulately convey industry views and positions
  • experience including being able to analyze consumer data and design and implement a plan resulting in growth
  • experience, including developing and managing corporate governance systems with the establishment of corporate policies and other controls to promote good corporate governance within a financial institution
  • experience, long-range, for a financial institution or other major corporate enterprise, including the following abilities: 
    • envision the future and set future direction
    • evaluate strategic decisions
    • understand and evaluate strategic risk
    • understand the forces shaping the financial services industry
    • understand credit unions and the credit union environment
  • experience including the administration of information technology systems for a corporate enterprise, and an understanding of the requirements, risks, and regulatory issues surrounding information management for a financial institution
  • experience in a corporate environment including knowledge of the following:
    • relevant regulatory requirements
    • executive compensation matters
    • succession planning relating to the CEO
  • expertise in Canadian law and the application of it within Alberta, preferably in the areas of banking, finance, corporate, employment, tax, and real estate
  • experience that is only gained hands-on, starting and/or growing a successful business reliant upon its owner
